Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Sofrito (“Sofrito,” “we,” “us”) governing your access to and use of the Sofrito website, applications, and services (the “Service”). By creating an account, starting a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Sofrito does

Sofrito helps independent food businesses understand weekly profitability. You provide inputs such as receipts, invoices, sales, and labor, and Sofrito produces a plain-English summary of what you made, where money may be leaking, and suggested actions. Sofrito is an informational tool. It is not an accountant, bookkeeper, tax advisor, or financial advisor, and its outputs (including estimates and savings figures) are for guidance only and may be approximate.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the information you provide, for maintaining the security of your account and credentials, and for all activity that occurs under your account. You agree to provide accurate information and to keep it current.

3. Subscriptions, billing, and cancellation

• Paid plans (including the Founding plan at $149/month and any Design Partner rate) are billed on a recurring monthly basis through our payment processor, Stripe, until cancelled.
• By subscribing you authorize us and Stripe to charge your payment method the applicable fee each billing period, plus any applicable taxes, on an automatically renewing basis.
• You may cancel at any time; cancellation stops future renewals, and access continues until the end of the current billing period. Two published commitments override the general rule that paid fees are not refunded, and we will honour both: (a) the bad-fit refund — if your first week shows we cannot help you, we will say so and refund that first month; and (b) the finding guarantee — if by the end of your third month the savings ledger does not show at least $447 in leaks we found and showed you the arithmetic for, you are not charged again until it does. Outside those two commitments, and unless required by law, fees already paid are not refunded.
• Promotional or founding rates (including any locked rate) apply only while your subscription remains continuously active and are described at the time of sign-up.
• We may change prices on a going-forward basis with reasonable notice before your next renewal.

4. Your data and content

You retain ownership of the business information you upload or enter (“Your Data”). You grant Sofrito a limited license to host, process, and analyze Your Data solely to provide and improve the Service for you. We may use aggregated or de-identified data that does not identify you or your business to operate and improve the Service. You are responsible for having the right to provide Your Data.

5. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• upload data you do not have the right to share, or that infringes others’ rights;
• attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its systems;
• resell or provide the Service to third parties except as expressly permitted.

6. Third-party services

The Service relies on third parties, including Stripe (payments), Supabase (database and storage), Cloudflare (hosting and security), and email delivery providers. Your use of those features is also subject to those providers’ terms. We are not responsible for third-party services we do not control.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Sofrito does not warrant that outputs are accurate, complete, or suitable for your decisions. You are responsible for your own business, financial, and tax decisions and should consult qualified professionals.

8. Limitation of liability

To the maximum extent permitted by law, Sofrito will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold Sofrito harmless from claims, losses, and expenses arising from Your Data, your use of the Service, or your violation of these Terms.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in the Service). Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the state in which Sofrito is organized, without regard to conflict-of-laws rules. The parties submit to the courts located there for any dispute not subject to arbitration.
